1. Acceptance of Terms

Welcome to Clazy Online, an AI-powered online tutoring platform operated by Natural Intelligence Labs ("Company," "we," "our," or "us"). By accessing or using our website, mobile application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

By using Clazy Online, you represent that you are at least 13 years old. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Account Registration and Eligibility

2.1 Account Creation

To access certain features of the Service, you must create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.2 User Roles

Clazy Online supports three user types:

• Tutors: Educators who create content, generate assessments, and manage students
• Students: Learners who complete activities, take assessments, and track progress
• Parents: Guardians who monitor student progress and receive reports

2.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. You may also delete your account at any time through your account settings.

3. Subscription Plans and Payment

3.1 Tutor Subscription Tiers

Clazy Online offers multiple subscription plans for tutors:

• Free Plan: $0/month - 1 group class, 1 one-to-one class, 60 AI minutes per month
• Starter Plan: $20/month - 3 group classes, 5 one-to-one classes, 300 AI minutes per month
• Professional Plan: $50/month - 10 group classes, 15 one-to-one classes, 1,000 AI minutes per month
• Enterprise Plan: Custom pricing - Unlimited classes and AI usage (contact sales)

3.1.1 Student Subscription Tiers

Clazy Online also offers subscription plans for students using the practice system:

• Free Plan: $0 - 3 practice sessions total, 30 AI minutes lifetime
• Starter Plan: $9.99/month - 150 AI minutes per month, unlimited practice sessions
• Pro Plan: $19.99/month - 300 AI minutes per month, unlimited practice sessions with advanced features

3.2 Billing and Payments

• Subscriptions are billed monthly in advance
• All payments are processed securely through Stripe
• Prices are in USD and subject to change with 30 days' notice
• You authorize us to charge your payment method on a recurring basis
• Failed payments may result in service suspension

3.3 AI Minutes and Usage Limits

Each subscription plan includes a monthly allocation of AI minutes used for:

• AI question generation
• Automated feedback and grading
• Lesson note generation

AI minutes reset monthly. Unused minutes do not roll over. If you exceed your allocation, AI features will be temporarily unavailable until the next billing cycle or until you upgrade your plan.

3.4 Refunds and Cancellations

• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial months
• Free trial cancellations result in immediate loss of access
• Refunds may be granted at our discretion for technical issues

4. User Conduct and Prohibited Activities

When using Clazy Online, you agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm other users
• Impersonate another person or entity
• Share your account credentials with others
• Use the Service for commercial purposes without authorization
• Scrape, data mine, or extract data from the platform
• Reverse engineer or attempt to access source code
• Submit false or misleading information
• Circumvent usage limits or subscription restrictions
• Use AI-generated content for academic dishonesty or cheating
• Create multiple accounts to abuse free trial offers

Violation of these terms may result in immediate account suspension or termination without refund.

5. Intellectual Property Rights

5.1 Platform Ownership

Clazy Online, including all software, design, content, trademarks, and technology, is owned by Natural Intelligence Labs and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

5.2 User-Generated Content

You retain ownership of content you create, upload, or submit to Clazy Online, including:

• Custom questions and assessments
• Lesson notes and educational materials
• Student responses and work
• Comments and feedback

By submitting content, you grant Natural Intelligence Labs a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your content solely for the purpose of operating and improving the Service.

5.3 AI-Generated Content

Content generated by our AI systems (powered by Anthropic's Claude) is provided to you for educational purposes. You may use AI-generated questions, answers, and notes within the platform. However, you acknowledge that AI-generated content is not guaranteed to be error-free and should be reviewed before use in high-stakes assessments.

6. AI Services and Limitations

6.1 AI Accuracy Disclaimer

Clazy Online uses advanced AI technology to generate educational content. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or inappropriate material. You acknowledge and agree that:

• AI-generated questions should be reviewed by tutors before assignment
• AI feedback and explanations may not always be pedagogically optimal
• We are not responsible for errors in AI-generated content
• Tutors are ultimately responsible for verifying content accuracy
• Students should seek clarification from tutors if AI feedback is unclear

6.2 Educational Use Only

Our AI features are designed to support learning and teaching. Using AI-generated content for academic dishonesty, cheating on exams, or submitting AI work as your own violates academic integrity policies and these Terms. We strongly discourage such misuse and may report violations to educational institutions.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using Clazy Online, you consent to our data practices as described in the Privacy Policy. Key points include:

• We collect personal and educational data to provide the Service
• Student data is shared with assigned tutors and parents
• We use encryption and security measures to protect your information
• You can request access, correction, or deletion of your data
• We comply with COPPA for users under 13

8. Disclaimers and Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by law, Natural Intelligence Labs disclaims all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of AI-generated content
• Warranties that defects will be corrected
• Warranties regarding educational outcomes or improved grades

We do not guarantee that Clazy Online will meet your specific needs or that it will be compatible with all devices and systems. Your use of the Service is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Natural Intelligence Labs and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Clazy Online.

This includes, but is not limited to, damages for:

• Loss of profits, revenue, data, or business opportunities
• Academic consequences resulting from AI errors or inaccuracies
• Service interruptions or data loss
• Unauthorized access to your account
• Reliance on AI-generated content
• Errors in grading or feedback

In no event shall our total liability exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Natural Intelligence Labs, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct on the platform
• Misuse of AI-generated content for academic dishonesty

11. Termination

We reserve the right to suspend or terminate your access to Clazy Online at any time, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abusive or harmful behavior toward other users
• Any other reason at our sole discretion

Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our data retention policies. Termination does not relieve you of any obligations incurred prior to termination.

12. Dispute Resolution and Governing Law

12.1 Informal Resolution

If you have a dispute with Clazy Online, please contact us first at legal@clazy.online to attempt to resolve the issue informally.

12.2 Arbitration Agreement

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration rather than in court, except where prohibited by law. By agreeing to these Terms, you waive your right to a jury trial and class action lawsuits.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of courts in New Zealand for any disputes not subject to arbitration.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:

• Post the updated Terms on this page
• Update the "Last Updated" date
• Notify you via email or in-app notification
• Provide at least 30 days' notice for material changes

Your continued use of Clazy Online after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on Clazy Online, constitute the entire agreement between you and Natural Intelligence Labs regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Third-Party Services

Clazy Online integrates with third-party services including Supabase, Anthropic, Stripe, Google Cloud, and Resend. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
